1. Introduction
These Terms of Service ('Terms') govern your use of Stoki, an inventory management service operated by Stoki, a sole trader based in London, United Kingdom.
By creating an account, signing in, or using the Stoki service, you agree to be bound by these Terms. If you do not agree, please do not use the service.
2. Definitions
Throughout these Terms:
- 'Service' means the Stoki web application and any related services we provide.
- 'Account' means the user account you create to access the service.
- 'Content' means any data, products, photos, or other information you add to Stoki.
- 'User', 'you', or 'your' means the person or business using the service.
3. Eligibility
You must be at least 16 years old to use Stoki. If you are using Stoki on behalf of a business, you confirm that you have the authority to bind that business to these Terms.
4. Your account
You are responsible for keeping your account credentials safe. You must not share your password or let anyone else use your account.
You agree to notify us immediately if you suspect your account has been accessed without your permission. We are not responsible for losses that result from your failure to keep your account secure.
5. Acceptable use
When using Stoki, you agree not to:
- Use the service for any illegal activity or to facilitate any illegal activity.
- Resell, sublicense, or commercially redistribute the Stoki service itself.
- Scrape, abuse, or place excessive automated load on the service.
- Reverse engineer, decompile, or attempt to extract the source code of the service.
- Use Stoki to track inventory of goods that are illegal to sell in your jurisdiction — including controlled drugs, weapons, or counterfeit goods.
6. Your content
You retain full ownership of all content you add to Stoki — your products, sales records, photos, and business data are yours.
By using the service, you grant us a limited, non-exclusive licence to host, store, back up, and display your content solely for the purpose of providing the service to you. This licence ends when you delete your content or close your account.
7. Subscription and payment
Stoki offers a free tier and paid tiers as listed on our pricing page. Free accounts have feature and quantity limits; paid accounts have higher limits and additional features.
Paid subscriptions, when available, are billed through Stripe. By starting a paid subscription, you authorise us to charge the payment method you provided on a recurring basis.
We offer a 14-day refund window for first-time paid subscriptions. After 14 days, paid subscriptions are non-refundable, but you can cancel at any time to avoid the next billing cycle.
Paid subscriptions renew automatically at the end of each billing period unless you cancel. You can cancel at any time from your account settings.
8. Cancellation and data export
You can cancel your subscription or delete your account at any time from your account settings. We will not charge you again after you cancel.
Before deleting your account, you can export your data. If you delete the account, we will retain a backup for 30 days and then permanently remove your data, as described in our Privacy Policy.
9. Service availability
We aim for high availability of the service, but we do not guarantee uninterrupted access. The service may be unavailable for maintenance, updates, or due to issues with our infrastructure providers. We will make reasonable efforts to give notice of planned downtime.
10. Limitation of liability
The service is provided 'as is' and 'as available', without warranties of any kind, whether express or implied, except as required by law.
To the maximum extent permitted by law, Stoki is not liable for any indirect, incidental, special, consequential, or business losses — including lost profits, lost revenue, or business interruption — arising from your use of the service.
Our total liability for any claim relating to the service is capped at the amount you paid us in subscription fees in the 12 months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be excluded under English law, including liability for death or personal injury caused by negligence.
11. Indemnification
You agree to defend, indemnify, and hold Stoki harmless from any claims, losses, or expenses arising out of your misuse of the service, your violation of these Terms, or your violation of any third-party rights.
12. Termination
We may suspend or terminate your account if you materially violate these Terms — for example, by using Stoki for illegal activity or by abusing the service. Where possible, we will give you notice and an opportunity to fix the issue first.
13. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will notify active account holders by email at least 14 days before the changes take effect. Your continued use of the service after that date constitutes acceptance of the updated Terms.
14. Governing law
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the service are subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer law gives you the right to bring proceedings in your country of residence.
15. Dispute resolution
Before starting any legal proceedings, we ask that you contact us at hello@usestoki.com to try to resolve the issue informally. We will respond promptly and work in good faith to find a solution.
